Obligations of the Affiliate
- The affiliate acknowledges that he/she must keep the contact details of the affiliate account up-to-date, including the contact name, e-mail address, and phone number.
- The affiliate agrees that he/she will comply with all local, state and federal laws concerning the sending of e-mails. EssentiaDirect.com has a very strict anti-spam policy, and sending unsolicited mails will not be tolerated. Affiliates that have been sending unsolicited mail in order to increase the number of leads to EssentiaDirect.com’s web site will be subject to immediate account termination without payment of the accumulated funds.
- The affiliate may not claim that EssentiaDirect.com provides services or resources not listed on EssentiaDirect.com's web site.
- The affiliate agrees that the web site used for the affiliate program and linking to EssentiaDirect.com's web site does not and will not contain violent, discriminatory, illegal, or "adult only" content, material infringing trademarks of a third party, or material that is threatening or obscene.

Tracking
EssentiaDirect.com may elect to use any methods available, which at any particular time may be deemed by EssentiaDirect.com to be the most accurate, to track the links from the Affiliate's site to EssentiaDirect.com's site and the final purchases. This includes but is not limited to the use of cookies.

Referral Fees
- The affiliate receives a referral fee, calculated as a percentage of purchases made by the referred customer.
- Referral fees are applicable only for new customers brought to our service through the affiliate's link. Referral fees are paid for the customers purchases as long as the tracking cookie is still in their computer. No referral fees will be paid for recurring customers.
- Referral fees are added to the affiliate's balance 90 days after the purchase. No fees are paid for refunded or terminated accounts.
- Transaction fees of the referral commission are covered by the affiliate.
- Referral fees offered by EssentiaDirect.com may change at any time without prior notice.

Abuse
Any attempt to undermine, slander, libel, threaten or cause harm to EssentiaDirect.com's customers, employees and property, or to the company directly, is grounds for immediate termination without payment of the accumulated funds. Any attempt to cheat EssentiaDirect.com's tracking system, or purposefully bringing visits that result in fraudulent purchases, will also result in immediate termination without payment of the accumulated funds. In addition, any such attempts will be prosecuted to the fullest extent of the law.

Indemnification
The customer agrees to indemnify, defend and hold harmless, EssentiaDirect.com, its subsidiaries and other affiliated companies, its officers, directors, employees and agents from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms of Use.

Privacy Policy
EssentiaDirect.com respects the right to privacy of customers and visitors of this site and is committed to protecting it. We will collect various personal information about our affiliates during the registration process, which may include but is not limited to: affiliate's full name, postal address, phone and fax number, and e-mail address. This type of information allows us to keep in contact with the affiliates regarding commission payouts and any other services performed by EssentiaDirect.com or by the affiliate. This information may also be used to notify the affiliate about service maintenance or upgrades, but will not be shared or sold to third parties for any purpose. EssentiaDirect.com maintains a strict privacy policy, which means that we do not intend to sell, rent, or otherwise give your e-mail address to third parties.

Disclaimer
- EssentiaDirect.com, at its sole discretion, may change these terms and conditions at any time. By using EssentiaDirect.com’s services the customer agrees that EssentiaDirect.com may: (1) revise these terms and conditions; and (2) change the services provided. Any such revision or change will be binding and effective immediately on posting of the revised terms or change to the service(s) on EssentiaDirect.com’s web site, or on notification to the customer by e-mail. The customer agrees to review EssentiaDirect.com’s web site, including these terms, periodically to be aware of any such revisions. If the customer does not agree with any revision, he/she may terminate the services at any time by notifying EssentiaDirect.com by e-mail. Notice of the customer's termination will be effective on receipt and processing by EssentiaDirect.com. The customer agrees that, by continuing to use EssentiaDirect.com’s services following notice of any revision to this Agreement or change in service(s), he/she abides by any such revisions or changes.
- The content available through this site is the sole property of EssentiaDirect.com and is protected by patent, copyright, trademark and other intellectual property laws. Except as otherwise explicitly agreed in writing, EssentiaDirect.com-owned content received through this site may be downloaded, displayed, reformatted and printed for your personal, non-commercial use only. The customer agrees not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate the content received through this site to anyone, including but not limited to others in the same company or organization without EssentiaDirect.com’s express prior written consent.
- EssentiaDirect.com reserves the right at its sole discretion to refuse or cancel service. Violation of any of EssentiaDirect.com’s Terms could result in a warning, suspension, or account termination. Submitting fake personal information can also be grounds for suspension or termination.

Limited Liability
THE CUSTOMER AGREES THAT ESSENTIADIRECT.COM SHALL NOT BE LIABLE FOR ANY (1) SUSPENSION OR LOSS OF THE SERVICE(S), (2) USE OF THE SERVICE(S), (3) INTERRUPTION OF ESSENTIADIRECT.COM’S SERVICES OR INTERRUPTION OF THE CUSTOMER'S BUSINESS, (4) ACCESS DELAYS OR ACCESS INTERRUPTIONS TO ESSENTIADIRECT.COM’S WEB SITE(S) OR SERVICE(S) OR DELAYS OR ACCESS INTERRUPTIONS THE CUSTOMER EXPERIENCES IN RELATION TO THE SERVICES OFFERED BY ESSENTIADIRECT.COM; (5) LOSS OR LIABILITY RESULTING FROM ACTS OF OR EVENTS BEYOND ESSENTIADIRECT.COM’S CONTROL (6) DATA NON-DELIVERY, MIS-DELIVERY, CORRUPTION, DESTRUCTION OR OTHER MODIFICATION; (7) LOSS OR LIABILITY RESULTING FROM THE UNAUTHORIZED USE OR MISUSE OF THE CUSTOMER'S ACCOUNT. ESSENTIADIRECT.COM ALSO WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ESSENTIADIRECT.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ESSENTIADIRECT.COM’S MAXIMUM AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY THE AFFILIATE FOR THE DISPUTED SERVICE, BUT IN NO EVENT GREATER THAN ONE HUNDRED DOLLARS ($100.00). BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES, ESSENTIADIRECT.COM’S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
